The work

Review model-drafted purchase agreements, credit agreements, offering documents and ancillary deal papers. Mark what is wrong, missing or unenforceable; explain what opposing counsel would push back on; produce annotated clause libraries and negotiation rationales that teach models how deals are actually papered.

Who it suits

  • JD and bar admission; five or more years in M&A, capital markets, leveraged finance or private equity at a major firm or in-house.
  • Comfortable with Delaware, New York or English law documents.
